Last updated: 10/09/2025 Introduction These Terms govern access to and use of the WhatsApp API services offered by KING SOFTWARE (“Company”, “we”, “our”) to business users through our portal and related services. By creating an account or using the Services, the user agrees to these Terms. Eligibility and Account Users must have legal authority to contract on behalf of a business and provide accurate registration details. Users are responsible for safeguarding logins, API keys, and access tokens and for all activities under their accounts. Services and Dependencies The Services enable messaging via the WhatsApp Business Platform and may rely on third-party infrastructure and policies that can affect availability and features. Service functionality can change due to platform updates, approvals, or policy changes. Acceptable Use Prohibited: spam, illegal content, harassment, harmful or deceptive activity, and messaging without appropriate consent. Do not collect or send sensitive personal data without a lawful basis and clear disclosures. Templates and Messaging Rules Business‑initiated messages outside the customer-service window require pre‑approved templates in the correct category (Marketing, Utility, Authentication). The platform may reclassify or reject templates; compliance is mandatory. Consent and Opt-Outs Users must obtain and document valid consent from end customers before messaging and must honor opt‑outs promptly. Users are solely responsible for their contact lists and message content. Compliance Users must comply with applicable laws (anti‑spam/telemarketing, data protection, consumer protection) and platform policies, including content restrictions, rate limits, and conversation rules. Fees and Billing Pricing includes subscription fees and pass‑through platform conversation charges and taxes as stated in the applicable Order/Plan. Overages and third‑party fees may apply. Suspension and Termination Company may suspend or terminate for policy violations, non‑payment, risk of harm, or legal compliance reasons. Users receive a limited, revocable, non‑exclusive, non‑transferable license to use the Services during the term. User content remains the user’s property. Confidentiality Each party must protect the other’s confidential information and use it only to fulfill this Agreement. Warranties and Disclaimers Services are provided “as is,” with no warranties beyond those required by law. Delivery, inbox placement, and response rates are not guaranteed. Limitation of Liability To the maximum extent permitted by law: no indirect, incidental, special, or consequential damages; aggregate liability capped at the fees paid in the 12 months preceding the claim. Indemnification Users will defend and indemnify KING SOFTWARE against claims arising from user content, unlawful messaging, or breach of these Terms or law.
